Agreement between User and www.shieldsscholars.com

Welcome to www.shieldsscholars.com. The www.shieldsscholars.com website (the "Site") is comprised of various web pages operated by Shields Scholars LLC. www.shieldsscholars.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of www.shieldsscholars.com constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

www.shieldsscholars.com is an E-Commerce Site.

Shields Scholars LLC provides online tutoring and educational courses for children in reading, writing, math, and related academic subjects, as well as coaching and training programs for adults interested in starting or growing online tutoring businesses.

Privacy

Your use of www.shieldsscholars.com is subject to Shields Scholars LLC's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Electronic Communications

Visiting www.shieldsscholars.com or sending emails to Shields Scholars LLC constitutes electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Your Account

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

You may not assign or otherwise transfer your account to any other person or entity. Shields Scholars LLC is not responsible for third party access to your account that results from theft or misappropriation of your account.

Shields Scholars LLC reserves the right to refuse service, terminate accounts, remove content, or cancel enrollment at its sole discretion.

Children Under Thirteen

Shields Scholars LLC does not knowingly collect personal information from persons under the age of thirteen without parental consent. If you are under 18, you may use www.shieldsscholars.com only with permission and supervision of a parent or legal guardian.

Enrollment, Attendance, and Refund Policy

All purchases made through Shields Scholars LLC are final and non-refundable.

By enrolling in any course, program, or service offered by Shields Scholars LLC, you acknowledge and agree that:

  • All sales are final.

  • No refunds will be issued under any circumstances.

  • Refunds will not be issued due to scheduling conflicts, missed classes, illness, travel, dissatisfaction, or withdrawal from the program.

  • Enrollment secures a limited seat within a scheduled cohort. Because seats are limited and reserved upon purchase, refunds, credits, transfers, or prorated adjustments are not available.

Live Class Participation

Shields Scholars courses are delivered through scheduled live online classes.

By enrolling in a course, you acknowledge and agree that:

  • Students are expected to attend scheduled live sessions.

  • Parents or guardians are responsible for ensuring their student attends classes and participates appropriately.

  • Shields Scholars LLC is not responsible for missed classes due to scheduling conflicts, illness, travel, technology issues, or other personal circumstances.

  • Missed classes do not qualify for refunds, credits, rescheduling, or program extensions.

Results-Based Program Requirements

Certain Shields Scholars programs may include a results-based guarantee, in which students are guaranteed to reach the next grade-level benchmark or remain in the program at no additional cost until the benchmark is met.

This guarantee is conditional and applies only when the following requirements are met.

Course Completion Requirement

Students must complete 100% of the course within thirty (30) days of the final scheduled lesson.

Completion includes:

  • Attending all lessons or completing required make-up work

  • Completing assigned coursework

  • Participating in required progress assessments

Failure to complete the course within this timeframe will result in the results-based guarantee being voided.

Assessment Requirement

Students enrolled in results-based programs are required to complete progress assessments.

Assessments must be completed:

  • Within two (2) weeks of assessment notifications being sent, and

  • At the following course checkpoints:

• After Lesson 10
• After Lesson 22
• After Lesson 32 (final assessment)

Parents or guardians are responsible for scheduling these assessments.

Failure to complete required assessments within the designated timeframe may result in the results-based guarantee being voided.

Active Participation Requirement

Students must remain actively enrolled and participating in the program for the results guarantee to apply.

The results-based guarantee does not apply to students who:

  • Stop attending classes

  • Fail to complete coursework

  • Fail to schedule required assessments

  • Become inactive for extended periods of time

  • Attempt to return to the program long after the course has ended

Students who discontinue participation for extended periods, including several months or longer, may not return later to claim the results-based guarantee.

Links to Third Party Sites / Third Party Services

www.shieldsscholars.com may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of Shields Scholars LLC and Shields Scholars LLC is not responsible for the contents of any Linked Site.

The inclusion of any link does not imply endorsement by Shields Scholars LLC.

Certain services made available via www.shieldsscholars.com may be delivered by third-party organizations. By using such services, you consent to Shields Scholars LLC sharing information necessary to provide those services.

Intellectual Property

All content included as part of the Service, including but not limited to:

  • text

  • curriculum

  • lessons

  • worksheets

  • videos

  • graphics

  • logos

  • course materials

is the property of Shields Scholars LLC and protected by copyright and intellectual property laws.

Users may not copy, reproduce, distribute, sell, publish, modify, or create derivative works from any materials provided through Shields Scholars LLC without written permission.

Course materials are provided for personal educational use only and may not be redistributed or resold.

Third Party Accounts

Users may connect their Shields Scholars LLC account to third party services. By doing so, you consent to the release of certain information to those services in accordance with their privacy policies.

International Users

The Service is controlled and operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws.

Indemnification

You agree to indemnify and hold harmless Shields Scholars LLC, its officers, employees, agents, and affiliates from any claims, damages, losses, or expenses arising from your use of the Site or violation of these Terms.

Class Action Waiver

Any dispute or claim arising out of these Terms shall be resolved on an individual basis. Class actions and collective proceedings are not permitted.

Shields Scholars LLC makes no guarantees regarding the accuracy, reliability, or availability of the Site or services.

To the maximum extent permitted by law, Shields Scholars LLC shall not be liable for any damages arising from the use or inability to use the Site or services.

Termination / Access Restriction

Shields Scholars LLC reserves the right to terminate or restrict access to the Site or services at any time without notice.

This agreement is governed by the laws of the State of Nevada. Any disputes shall be resolved within Nevada jurisdiction.

Entire Agreement

These Terms constitute the entire agreement between the user and Shields Scholars LLC regarding use of the Site and services.

If any portion of these Terms is found unenforceable, the remaining provisions shall remain in effect.

Changes to Terms

Shields Scholars LLC reserves the right to update or modify these Terms at any time. The most current version will supersede all previous versions.

Users are encouraged to periodically review the Terms.
